Welcome to Tooxt (“Tooxt,” “we,” “us,” “our”). These Terms of Service (“Terms”) govern your access to and use of Tooxt.com, our AI-powered personalized book creation service, related applications, and any future products or services we may introduce (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use Tooxt. By using the Services, you represent you meet this requirement.

2. User Inputs and Content You Provide

To create personalized books, you may submit information including names, text descriptions, answers to prompts, photos, and other data (“User Inputs”).

You represent and warrant that:

You own or have permission to use all User Inputs;
Your User Inputs do not infringe any third-party rights;
You grant Tooxt the rights described in these Terms.

3. AI-Generated Content

Our Services use automated systems, including third-party AI models, to generate text, images, book layouts, and other content (“AI-Generated Content”).

3.1 Ownership of AI-Generated Content

To the fullest extent permitted by applicable law:

Tooxt owns all rights, title, and interest (including all intellectual property rights) in:

AI-Generated Content
All book designs, formats, structures, templates, and layouts
All compiled or assembled works produced through the Services
Any improvements, derivative works, or aggregated data arising from use of the Services

You acknowledge that AI-Generated Content may not be eligible for copyright protection under applicable law, but regardless of copyright eligibility, Tooxt contractually retains full ownership of all AI-Generated Content and output files produced by the Services.

3.2 License to Users (Personal Use Only)

Tooxt grants you a limited, revocable, non-exclusive, non-transferable, worldwide, royalty-free license to:

Print copies through Tooxt
Purchase additional printed copies through Tooxt
Share photos of your book or book cover (e.g., on social media)
If we later provide digital files or downloads:
- save them,
- view them,
- share them with friends and family for personal use

3.3 Restrictions (Commercial Use Prohibited)

Unless Tooxt gives you explicit written permission, you may not:

Sell, resell, publish, or commercially distribute any AI-Generated Content
Upload or publish the generated book on marketplaces
Use AI-Generated Content for commercial advertising or product creation
Train or improve any machine learning or AI systems using our content
Create derivative commercial works from the generated materials

Commercial use rights remain exclusively with Tooxt.

4. Rights for Marketing Use

By using the Services, you grant Tooxt a perpetual, worldwide, royalty-free, sublicensable license to:

Use AI-Generated Content
Use book covers and book titles
Use anonymized excerpts or pages
Use photos you upload (User Inputs)
Reproduce, display, distribute, or modify them

…for purposes including:

marketing
advertising
product improvement
demonstrations
samples
portfolio displays

We will remove or anonymize personal or sensitive data unless you give explicit permission to display it.

5. Data Storage and Retention

Tooxt may store:

User Inputs,
AI-Generated Content,
Book covers,
Photos you upload,
Metadata relating to your orders

We store this data indefinitely unless you request deletion, subject to applicable law.
You may request deletion at any time by contacting hello@tooxt.com.

6. International Use

The Services are available worldwide.
By using Tooxt, you consent to processing of your data in the United States and other jurisdictions where we operate.

Users outside the United States are responsible for ensuring compliance with local laws.

7. Payment Terms

All purchases made through Tooxt.com are subject to our listed prices, tax rules, shipping costs, and refund policies.
Orders are processed through Shopify or other third-party payment processors.

8. Prohibited Uses

You agree not to use Tooxt to create or share content that is illegal, abusive, obscene, hateful, harassing, defamatory, misleading, violent, pornographic, or otherwise objectionable.

You also agree not to:

Attempt to reverse-engineer, extract prompts, or replicate our workflows
Use our Services to build competing AI systems
Interfere with or disrupt the Services

9. Intellectual Property

All trademarks, logos, graphics, user interface elements, software, systems, templates, workflows, and other intellectual property are owned exclusively by Tooxt.

You may not copy, reverse engineer, reproduce, or derive works from any part of the Services.

10. Termination

Tooxt may suspend or terminate your access to the Services if:

You violate these Terms,
You engage in abusive behavior,
You use the Services commercially without permission.

Upon termination, your license to use AI-Generated Content ends immediately.

11. Disclaimer of Warranties

The Services are provided “as is.”
Tooxt makes no warranties regarding:

accuracy of AI output
fitness for a particular purpose
uninterrupted or error-free operation

12. Limitation of Liability

To the maximum extent permitted by law:

Tooxt is not liable for indirect, incidental, or consequential damages.
Total liability in any claim will not exceed the amount paid for the applicable order.

13. Governing Law

These Terms, and any dispute, claim, or controversy arising out of or relating to the Services, AI-Generated Content, User Inputs, purchases, or your use of Tooxt, shall be governed exclusively by the laws of the State of Nevada, USA, without regard to its conflict of laws principles.

You agree that any legal action or proceeding between you and Tooxt shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction and venue of those courts for such purposes.

Users located outside the United States agree that Nevada law will apply to these Terms to the maximum extent permitted by their local laws. If mandatory consumer protection laws in your country require different legal rights or protections, those rights remain unaffected, but venue for any dispute shall still be Nevada unless prohibited by applicable law.

Nothing in this section limits Tooxt’s ability to seek injunctive, equitable, or protective relief in any jurisdiction as necessary to protect its intellectual property, confidential information, or rights under these Terms.
